These General Terms and Conditions of Sale (hereinafter "Terms") apply to all sales and services performed by Benhi Agency (hereinafter "the Seller") to its professional clients (hereinafter "the Client"). Benhi Agency is a company specialising in international product sourcing and multi-niche distribution. These Terms govern all commercial relations between the Seller and the Client, to the exclusion of any other conditions. Any order placed with Benhi Agency implies unconditional acceptance of these Terms. The Client acknowledges having read and accepted these Terms prior to placing any order.

Benhi Agency offers the following services: - International supplier sourcing and identification - Purchase terms negotiation (price, lead time, quality) - Quality control and merchandise inspection - Logistics management and shipment coordination - International business development consulting - Multi-niche product distribution across all sectors The essential characteristics of products and services are presented on the website and in quotations/commercial proposals sent to the Client. The Seller reserves the right to modify its product and service range at any time.

All orders must be formalised in writing (email, signed purchase order, or commercial contract). An order is only final after written confirmation by Benhi Agency and receipt of any applicable deposit. The Seller reserves the right to refuse any order for legitimate reasons, including prior disputes with the Client, doubtful solvency, or non-compliance of the order with applicable regulations. Any modification or cancellation of an order by the Client after confirmation must be notified in writing and is subject to the Seller's agreement. Cancellation fees may apply depending on the stage of the order.

Prices are quoted in Hong Kong Dollars (HKD) or as otherwise agreed in the commercial proposal, exclusive of applicable taxes unless stated otherwise. Prices are established based on international market conditions at the time of quotation. In the event of a significant variation in costs (raw materials, freight, exchange rates), the Seller reserves the right to revise prices after prior notification to the Client. Quotations are valid for 30 days from their date of issue, unless otherwise stated. Beyond this period, the Seller reserves the right to revise the proposed prices.

Unless otherwise agreed in writing, the following payment terms apply: - 30% deposit upon order confirmation - 70% balance prior to shipment of goods Accepted payment methods include: bank transfer (SWIFT/international wire), letter of credit (L/C), and any other method agreed in writing between the parties. In the event of late payment, interest shall accrue at the applicable legal rate plus 5 percentage points, along with a flat-rate recovery fee, in accordance with applicable Hong Kong commercial law.

Delivery lead times are provided as estimates and may vary depending on production conditions, international transport delays, and customs formalities. The Seller undertakes to inform the Client of any foreseeable delay as soon as it becomes aware of it. A delivery delay shall not give rise to any penalty or order cancellation, unless specifically agreed in the commercial contract. The risk of loss or damage to goods is transferred to the Client in accordance with the Incoterms agreed in the commercial contract. In the absence of specific mention, EXW (Ex Works) terms apply.

Title to the goods shall only pass to the Client upon full payment of the price, including principal and ancillary charges, regardless of the delivery date. Until full payment, the Client shall not resell, transform, incorporate, or pledge the delivered goods. In the event of non-payment, the Seller may reclaim delivered but unpaid goods.

Benhi Agency undertakes to carry out or commission quality controls on sourced products prior to shipment. These controls cover compliance with agreed specifications and applicable standards. The Client has 7 working days from receipt of goods to raise any claim relating to an apparent defect or non-conformity. After this period, no claim will be accepted. In the event of a confirmed defect, the Seller undertakes to offer the Client, as appropriate: replacement of defective products, a commercial credit note, or a partial refund.

The Seller's liability is limited to the value of the order concerned. The Seller shall not be liable for indirect damages, loss of business, loss of profit, or commercial prejudice suffered by the Client. The Seller shall not be liable for delays or failures resulting from force majeure events, including: natural disasters, armed conflicts, pandemics, general strikes, or unforeseeable governmental or customs decisions.

Personal data collected in the course of commercial relations is processed in accordance with our Privacy Policy available on the website. In compliance with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong SAR, the Client has the right to access, correct, and request deletion of their personal data.

These Terms are governed by the laws of Hong Kong SAR. In the event of a dispute, the parties undertake to seek an amicable resolution before resorting to legal proceedings. Failing an amicable resolution within 30 days, any dispute relating to the interpretation or performance of these Terms shall be submitted to the exclusive jurisdiction of the courts of Hong Kong Special Administrative Region.
